* FTC Guides Governing Endorsements and Testimonials – effective December 1, 2009, the Guides stated the FTC’s enforcement policy affecting marketers and bloggers that post testimonials of others or provide testimonials for the products or services of others. The Guides require disclosure of “material connections with advertisers such as the receipt of compensation or freebies, or face fines

of up to $11,000.

* FTC Preliminary Staff Report - issued in December, 2010, the FTC stated its criticism of “long, incomprehensible privacy policies that consumers typically do not read, let alone understand”. The FTC stated its policy that “although privacy policies may not be a good tool for communicating with most consumers, they still could play an important role in promoting transparency, accountability, and

competition among companies on privacy issues – but only if the policies are clear, concise, and easy-to-read.” In its Staff Report, the FTC (i) also added a new category of information that’s now subject to privacy regulation which includes location data, and (ii) announced its future requirements for “Privacy By Design.”

* Restore Online Shopper’s Confidence Act (ROSCA) – effective December 29, 2010, ROSCA regulates online Data Pass Transactions and Negative Option Billing Plans. Data Pass Transactions include the passing of billing information from one online merchant to another for purposes of upsells. A Negative Option Billing Plan includes recurring billing arrangements that are found in many membership websites.

* FTC Policy on Behavioral Advertising – on March 14, 2011, the FTC announced a settlement regarding behavioral advertising, and along with it, the FTC’s policy requiring prior notice and an opt out mechanism for the collection of data online for behavioral advertising purposes. Behavioral ads are based on anonymous data collected on how a user’s computer browses the Internet, including websites visited, searches made, and content read. This data is used to create a behavioral profile that is linked to a specific demographic.

It is tough selling hard products online for this very reason, unless you are an exclusive distributor of such a product or no other companies have shown an interest in selling that kind of product.

The price for failure to comply in terms of liability exposure can be very high.

So be careful not to become a victim of the Internet Marketing dream.

The following proposed laws and regulations, if passed, will have a huge impact on online businesses.

* HIPAA HITECH - passed as part of the American Recovery and Reinvestment Act of 2009 (also known as the “Stimulus”), HIPAA HITECH extended the Privacy and Security Provisions of HIPAA to Business Associates of Covered Entities. The effect is that now service providers which provide SaaS, software, or data processing or consulting services to healthcare organizations will be treated as Covered Entities for purposes of privacy and security, with the corresponding increase in liability exposure.

I know that these cookie-cutter sites are attractive, because they have the products, the shopping cart, and the fulfillment systems built in, but you are still one of thousands of sites displaying the exact same kind of products for the exact same prices. You are only one in a huge wilderness of sites that might look different, but are exactly the same under the hood.

You must earn more than you spend to make a profit, and what you pay yourself is an expense.

The thing that is so ironic about that claim is that the gurus saying that you should only pay $5 for an article are usually paying $250 to $500 to have their articles written. And they would never tell you WHO writes their articles, because finding and keeping good help is tough, even online.

The proposed legislation would allow consumers to opt out from having their personal information tracked by online advertisers. This legislation is consistent with the FTC’s policy on behavioral advertising listed above.

Surfers know that the waves come in periodic sets which are separated by relative lulls. Beginning in 2009, there’s been a tsunami of new and complex legal regulations for websites that also seems to be coming in sets.

If you’re an Internet marketer or operate a SaaS business, now is a good time to quickly review the following checklist of the set just passed, as well as the set that’s fast approaching. The proposed legislation would mandate that online collectors of personal information implement certain baseline data security standards. The proposed legislation would also pre-empt the confusing patchwork quilt of data breach notification laws passed by forty six states, the District of Columbia, and U.S. Territories.

When you find those awesome writers, you need to pay them what they require to keep them on your payroll, and you certainly do not want to share their name with another, in the off-chance that they decide that they would prefer to work for the other guy instead of you.

* The Commercial Privacy Bill of Rights – announced on April On April 12, 2011 by Senators John Kerry (D-Mass) and John McCain (R-Ariz). The proposed legislation could become the first federal privacy and data security law. If passed into law, The Commercial Privacy Bill of Rights will have a huge impact on how personal information is collected, used, and shared online.

It’s abundantly clear that beginning in 2009, we’re now in a new era of legal regulations for websites. The old “wild, wild, west” days prior to 2009 are long gone.

And it’s not too much of a stretch to view these laws and regulations, both existing and proposed, in terms of a tsunami. After such a long period where legal regulations for websites were few and far between, it’s now difficult for many online businesses to comply and to stay above water with the increased pace of regulation.

Beware Of Bad Business Advice

It is just bizarre to me that the big Internet Marketing gurus are telling you that you should never pay more than $5 an article, when I know for a fact that many of them are paying $250 to $500 an article to have their own stuff written.

There are certain products that the Chinese Wholesale sites would be happy to sell to you. And at the same time, the U.S. Customs Office would be happy to seize those products at the border, due to import restrictions.

The Set Just Passed

These new laws and regulations are having a significant impact on online businesses.

* Red Flags Rule – requires covered businesses to implement a written Identity Theft Prevention Program designed to detect the warning signs of identity theft (the so-called “red flags”). The Federal Trade Commission (FTC) extended several deadlines for compliance in 2009 and 2010 due to difficulties in defining “creditor” for purposes of covered businesses. The final ruling effective December 18, 2010 amended the definition of “creditor” by excluding businesses that advance funds for expenses incidental to a service provided by the creditor to that person. So, businesses that provide online services (SaaS) are exempt, but businesses that advance funds for the purchase of products appear to be covered.

If you learn the necessary work processes that you will need to do, offer a product or service people actually want or need, and you follow through with good advertising and customer service, you can be successful too.

Primarily, it means that I do not have to have an office on Main Street USA in order to do business online. I can run my business out of my house, if I so desire.

Are You an Insurer for Data Security Breach?

Some of the key questions and concerns are:

* Data requests – how will the customer’s requests for data be handled, including responses to legal discovery (eDiscovery) requests, search warrants, and subpoenas?

Although the data resides in servers located at your hosting service provider’s facility, your customer may have a need to access this data from time to time.

One of the issues regarding your scope of responsibility for a data breach is who is responsible (or the extent that the responsibility may be shared) for notifying the persons affected by the data breach as required by the patchwork quilt of state laws dealing with breach notification.

* Where are the servers located? Will servers be required to be located only in the United States?

Are you ready for the test?

* Access to data – who at the hosting service provider has access to data in the server?

* Changes to a successor data center – will the prospect insist on approval of any change to another hosting service provider?

* Redundancy – if there is a problem with the active server, does a mirrored server kick in?

* Disaster recovery – what’s the level of support?

Since the click-wrapped approach is not subject to negotiation, that’s not the subject of this article. What we’re concerned with here, is whether you’re prepared to negotiate the cutting edge issues of a traditional paper-based,boutique vetement enfant luxe, signed agreement with a corporate user – and a SaaS-savvy one at that.

Think about it. It’s a fact that there’s no system currently known to man that is guaranteed to be absolutely safe and secure from outside hacks. So, if you guarantee data security with a general indemnity, you’re providing a guarantee over which you have no control and which you’ll be expected to honor financially in the future with some of your customers. Count on it. In essence, you’ll be providing an insurance policy, and you had better be charging an insurance “premium” to cover the risk.

The ultimate questions are whether you:

Are you prepared for the issues you’re most likely to be confronted with by a SaaS-savvy corporate user – or do you flunk the test?

Did you pass the test?

If you’re not sure about how to handle these issues, you’re advised to seek competent legal counsel who’s familiar with them.

The single, most significant driver of your prospect’s questions and concerns with your traditional paper-based, signed SaaS agreement is the fact that your prospect is considering surrendering its valuable and sensitive data to you – transferring it into the “cloud.” Your prospect will test you with questions and concerns regarding the privacy and security if its data. How you respond will determine, in most transactions, whether you’ll get the business.

* Security audits – does the hosting service provider provide SAS 70 reports periodically (Type 1 or Type 2)?

If you’re typical, you’ve outsourced your data center to an outside hosting service provider, and your prospect knows that. There are two basic approaches to SaaS agreements with end-user customers:

One way to deal with the issue is to agree to a standard for data security that you’ll be responsible to satisfy. The standard may be general in nature, such as compliance with reasonable data security measures that are generally followed in the industry. Or, the standard may be more specific, such as standards set by the EU Safe Harbor or the Gramm-Leach-Bliley Act, or a very specific negotiated standard. In any case, once the standard is agreed upon, you might agree to be responsible for a security breach only if it’s enabled by your failure to comply with the standard. If the breach is not enabled by your breach of the standard, you’re not responsible.
